1. Introduction
These Terms of Service ("Terms") govern your access to and use of services provided by Show Corporation ("Company", "we", "us", or "our"), a company registered in Osaka, Japan.
By accessing or using our services, you agree to be bound by these Terms.
2. Services
Show Corporation provides business-oriented services including but not limited to:
- IT Consulting
- Data Center Services
- Network Infrastructure
- Web Development
- Application Development
- AI Integration
- Search Engine Optimization (SEO)
- Generative Engine Optimization (GEO)
- Hardware Wholesale
All services are provided on a B2B basis.
3. Eligibility
You must be a legally recognized business entity or authorized representative to use our services. Anonymous usage is not permitted.
4. Payment Terms
We accept the following payment methods:
- Bank Transfer
- Credit Card
- PayPal
- Alipay
All fees are due as agreed in the applicable service agreement, invoice, or order.
Failure to pay may result in suspension or termination of services.
5. Refund Policy
Unless explicitly stated otherwise (e.g., trial-based services), all payments are non-refundable once services have been delivered or provisioned.
No refunds will be issued for:
- Change of mind
- Misconfiguration by the customer
- Violations of these Terms or applicable policies
6. Service Availability (SLA)
We aim to provide a 99.9% service availability on a best-effort basis.
This SLA does not apply to:
- Scheduled maintenance
- Force majeure events
- Issues caused by third-party providers or customer actions
No service credits or financial compensation are guaranteed unless explicitly agreed in writing.
7. Suspension and Termination
We reserve the right to suspend or terminate services at any time, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Payment is overdue
- Required by law or regulatory authorities
We may also terminate services at our sole discretion.
8. Customer Responsibilities
You are responsible for:
- Maintaining the security of your systems and credentials
- Ensuring lawful use of services
- Backing up your data
We are not responsible for data loss under any circumstances.
9. Intellectual Property
All intellectual property related to our services remains the property of Show Corporation or its licensors.
Customers retain ownership of their own content and data.
10. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid for the service
11. Indemnification
You agree to indemnify and hold harmless Show Corporation from any claims arising from your use of the services.
12. Third-Party Services
We may rely on third-party providers such as Cloudflare, Stripe, and PayPal.
We are not responsible for failures or issues caused by these providers.
13. Force Majeure
We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, network outages, power failures, or acts of government.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Osaka District Court (大阪地方裁判所).
15. Changes to Terms
We may update these Terms at any time. Continued use of the services constitutes acceptance of the updated Terms.
